Participant Agreement

This Participant Agreement and Release (“Agreement”) is entered into by the undersigned participant (“Participant”) in connection with attendance of the event you are signing up to attend.

The event is organized and hosted by Risk Tide Solutions, LLC and its owners, affiliates, employees, representatives, contractors, and agents (collectively referred to as the “Organizer”).  

By registering for or attending the event, Participant expressly agrees to the following terms:  

1. Educational Purpose Only  
   Participant understands and agrees that the seminar, workshop, conference, or event (the “Risk Tide Training”) is provided solely for educational and informational purposes only and does not provide legal, regulatory, accounting, or professional advice. Participation in Risk Tide Training does not create a consulting or advisory relationship. Participants should consult qualified professionals regarding their specific risk and compliance needs. Any information, materials, presentations, or discussions provided during the Risk Tide Training are not intended to constitute professional, legal, financial, or other professional advice.  Participant acknowledges that the Organizer and speakers make no representations or guarantees regarding results or outcomes arising from participation in the Risk Tide Training.
2. Intellectual Property RightsParticipant acknowledges and agrees that all content presented or provided in connection with the Risk Tide Training, including but not limited to:  presentations, lectures, written materials, slides, videos recordings, course materials, workbooks, handouts, graphics and visual materials, speaker presentations, and commentary  
   (collectively, the “Educational Materials”) are the exclusive intellectual property of the Organizer and/or the individual speakers or presenters, and are protected by applicable copyright, trademark, and other intellectual property laws. Any Educational Materials or other intellectual property rights belonging to third-party’s are used by Organizer with the proper permissions and licenses and such use does not in any way transfer a license or authorize Participant to utilize the Educational Materials and/or the intellectual property of others outside the Risk Tide Training.  Participant agrees that the Educational Materials are provided solely for the Participant’s personal educational use and that Participant shall not, without the prior written consent of the Organizer:  
   copy or reproduce the educational materials, photograph or record presentations, distribute materials to third parties, upload or post materials online share materials via email, social media, file sharing, or messaging platforms, create derivative works based on the educational materials, use the materials for commercial purposes, 
   Any unauthorized reproduction, distribution, recording, or sharing of the Educational Materials is strictly prohibited and may constitute a violation of applicable laws. 
3. Recording and Photography Restrictions  
   Participant understands that recording, photographing, live streaming, or otherwise capturing any portion of the Risk Tide Training or speaker presentations is prohibited without the express written permission of the Organizer.  The Organizer reserves the right to remove any Participant who violates this policy.
4. Photo, Video, and Media Release 
   Participant grants Organizer and its affiliates the irrevocable, perpetual, worldwide right and permission to photograph, film, record, or otherwise capture Participant’s image, likeness, voice, statements, or appearance during the Risk Tide Event. Participant further grants Organizer the unrestricted right to use such recordings in:  promotional materials marketing campaigns, websites and social media event recap, materials educational or promotional publications, participant understands that such materials may be used without further approval or compensation.  Participant releases Organizer from any and all claims arising from the use of such recordings, photographs or other materials.
5. Consent to Receive Communications  
   By registering for or attending the Risk Tide Training, Participant consents to Organizer collecting and using Participant’s contact information for purposes including:  providing event-related information, sending educational resources providing updates regarding future seminars, workshops, or conferences, sending marketing communications related to Organizer’s services, programs, or offerings 
   Participant may opt out of marketing communications at any time by using the unsubscribe option included in each communication or informing Risk Tide Solutions in writing to Legal@RiskTide.com . The Organizer will share the Participant’s information with its related partners for the specific event but will not sell the information at any time.   
6. Code of Conduct 
   Participant agrees to behave in a respectful and professional manner during the Risk Tide Event and abide by Organizer’s Terms and Conditions. Organizer reserves the right to remove any participant without refund for disruptive, inappropriate, or unlawful behavior. 
7. Assumption of Responsibility 
   Participant acknowledges that attendance and participation in the Risk Tide Training are voluntary, and that Participant assumes responsibility for any decisions made based on information presented during the Risk Tide Training.
8. Release of Liability
   To the fullest extent permitted by law, Participant releases and holds harmless Organizer and its owners, officers, employees, speakers, contractors, and affiliates from any claims, demands, damages, or liabilities arising from or related to participation in the Risk Tide Training, including but not limited to use of Participant’s name, image and likeness. 
9. Governing Law  
   The Participant agrees to personal jurisdiction within the State of Florida. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida and any action sought arising out of this Agreement must be brought in the applicable courts in St. John’s County, Florida. 
10. Entire Agreement 
    This Agreement constitutes the entire agreement between the Participant and Organizer regarding participation in the Risk Tide Training and supersedes any prior communications or agreements.
